I think it would have been important for the ED to prolong the decision to bring a vote of dissolution until the full board was up to speed on the situation. It is unfortunate that new board members would vote on something they know very little about especially when they are voting to close the organization. This was a bad decision on the ED’s behalf and the board members. Jackie should have developed an exploratory committee to evaluate the current loss of a funding source and to develop a plan for moving forward. An effort should have been made to consider all options and bring the new members up to speed before a full vote was offered. Ultimately it may have been the right decision to close the organization, but it was done with only partial support of the full board and three easily persuaded board members.
